These Guest Terms are between Oshyn Inc (“Oshyn,” “we,” or “us”), the operator of ContextCloud (the “Service”), and the individual accepting them (“you”). They govern your access as a guest to content or a conversation shared by a ContextCloud customer (the “Organization”). They cover both public share links and invitations that require a name and PIN or another permitted sign-in method.
Before you enter: You are entering an Organization's shared workspace or viewing its shared content. Contributions you make to the shared conversation may be visible to its authorized participants and retained after your access ends. If your access permits asking an agent to work, that request can cause actions beyond a text response. Read sections 3 and 5 before submitting information or requesting an action.
1. Your choice to accept
You must expressly accept these Guest Terms and the linked Acceptable Use Policy (“AUP”) before protected shared content is made available to you. Both documents and the Privacy Notice must be available for review first. If you decline, you will not receive access to that content. You may leave without accepting.
Receiving or opening a link, entering a PIN, having an existing login, or an Organization's acceptance of its own agreement does not constitute your acceptance. You accept for yourself; accepting does not represent that you have authority to bind the Organization or another person. You must have legal capacity to enter into these terms.
The AUP is part of these Guest Terms. The Privacy Notice explains data practices; referring to it does not turn acceptance into consent to every possible use of personal information. Acceptance is not consent to marketing, advertising tracking, or optional processing that requires a separate choice. Any required separate consent must be obtained separately.
2. The access you receive
The Organization controls what it shares, with whom, and which functions are enabled. A public share link may provide only viewing and permitted downloads. A named guest invitation may also permit messages, files, or requests to an AI agent. These terms do not enable a function that the Organization or the Service has not made available to you.
Acceptance grants no additional access. It does not make you a Member, administrator, purchaser, or billing contact, and does not authorize you to administer credentials or use an account beyond the permission actually granted. These Guest Terms do not require you to accept the Customer purchasing agreement or the Member personal-space and inspection addenda. If you later join as a Member, the applicable Member terms and addendum require their own acceptance.
Use only the content and functions you are authorized to use. Do not evade an access restriction, impersonate another person, or use another person's PIN or session without permission. Keep restricted invitations and sign-in details secure. A link that can be opened by anyone who holds it is not assurance that its content may lawfully be republished or used for any purpose.
3. Shared content, contributions, and side questions
You and other rights holders retain the rights you already have in submitted content. Providing access or submitting a message or file does not transfer ownership, create exclusive rights in AI output, or grant rights that the person sharing it does not have.
When you submit material, you authorize Oshyn to receive, process, store, and transmit it as needed to provide the requested collaboration, operate and protect the Service, comply with applicable obligations, and carry out authorized retention, export, and deletion. That includes processing by applicable model and service providers. This permission is limited by the purpose for which you submit the material, these terms, applicable law, and Oshyn's obligations to the Organization. It is not permission to use your content for unrelated advertising or model training. Oshyn will not use content processed for the Organization to train AI models.
Messages, files, and agent requests you post to the shared conversation become part of that conversation and may be available to authorized participants, Organization administrators, and recipients of authorized shares or exports. They may remain after you leave. The Organization controls subsequent sharing within its authority and applicable obligations. Submit only material you have the right to provide for that collaboration, and consider its intended audience.
Where a separate side-question feature is offered, a side question is not added to the shared conversation unless you choose to post its content. It is still processed by the applicable AI provider, and activity and usage records may be retained. A separate conversation view is not a promise of provider zero retention or that the information is inaccessible to every person or system involved in operating the Service.
Respect any confidentiality or use restrictions that lawfully apply to material you receive. These terms do not impose a new blanket confidentiality obligation on information merely because it appears at a public share link, grant permission to misuse confidential information, or restrict protected reporting or disclosures required or permitted by law.
4. Privacy and data handling
The Organization determines the purposes for which its shared workspace is used and the access it authorizes. Oshyn processes Organization content to provide the Service under its agreement with the Organization and remains responsible for its own processing and obligations. Guest activity can also generate sign-in, security, usage, and acceptance records.
The Privacy Notice describes Oshyn's handling of personal information, including applicable international processing and individual rights. The provider register explains service-provider roles. An outside service independently selected by the Organization may have separate terms and data practices.
You may ask the Organization or contact the Privacy Enforcement Representative at privacy@contextcloud.works about access, correction, deletion, or other individual rights. Oshyn will handle or assist with the request according to its role and applicable obligations. You may make such a request without accepting these terms or keeping guest access. These terms do not waive nonwaivable privacy, employment, consumer, or other statutory rights.
5. AI output and automated actions
AI output may be inaccurate, incomplete, non-unique, or unsuitable for its intended use. Oshyn does not undertake human review of every response. Review output before relying on it, sharing it, or using it to make a consequential decision. Obtain qualified advice where needed.
If your guest permissions allow agent requests, a request may cause the agent to use tools or connections available for that conversation. Actions can send messages, disclose information, incur charges, or create, change, or delete records in outside systems. An outside service may attribute an action to the connected account. A guest's inability to administer that account does not mean that a permitted agent request cannot cause an action through it.
Agents can misunderstand or fail to follow instructions, choose an unintended action or recipient, or repeat an action. An amount or restriction written in a prompt is not itself an enforced limit. Guardrails, approvals, and spending controls reduce risk within their documented scope; an AI-usage limit does not by itself limit purchases in another service. A control can fail. Do not assume that every external action requires a separate confirmation or that stopping a run will stop or reverse an action already initiated.
Request only actions you are authorized to request, use available review and approval controls appropriately, and choose oversight suitable for the consequences. Do not submit passwords or secrets in ordinary messages. If a supported flow requests a credential, supply it only if you have authority for the intended use. The account holder may need to revoke access directly with the outside provider; leaving a guest session does not do that automatically.
You accept the ordinary risks of the activity you choose to request, subject to section 10. An unexpected action does not become authorized merely because you used an agent. These terms do not excuse Oshyn's own breach or release an express obligation to honor an agreed access or approval control.
6. Acceptable use and charges
Comply with the AUP, applicable law, and lawful restrictions accompanying the shared access. In particular, do not infringe another person's rights, disclose information without authority, interfere with the Service, or ask an agent to perform an unlawful or unauthorized action.
Guest use alone does not make you responsible for the Organization's subscription or service charges, guarantee its debts, or enroll you in a paid plan. Charges under an outside account remain subject to the account holder's arrangement with that provider. Any separate subscription you personally purchase requires its own agreement.
7. Ending or restricting access
You may stop using guest access at any time. Access can also expire or be revoked by the Organization within its authority. Oshyn may restrict access where reasonably necessary to address a material violation, protect the Service or another person, or comply with law. An acceptance record does not keep an expired or revoked invitation valid.
Ending access does not automatically delete your contributions, copies already downloaded or shared, or records lawfully retained. Retention, return, and deletion of Organization content follow the applicable agreement and law. These terms give you no independent right to retain access to the Organization's workspace or obtain an Organization-wide export. Your individual statutory rights remain available after access ends.
8. Acceptance records and changes
Oshyn records the document versions and text accepted, the acceptance time, and the visitor or access-session information available for that acceptance. An anonymous visitor's record is not represented as proof of a verified identity. You may keep a copy of these terms and request the record applicable to your acceptance, subject to appropriate verification and lawful restrictions.
A material change to these Guest Terms or the incorporated AUP must be presented for express acceptance before further protected guest access. You may review it and decline. An existing login, restored session, silence, or continued possession of a link does not accept the change. Declining a change does not retroactively accept it or reduce protections applicable to information already provided. Oshyn will identify the new version and what materially changed; nonmaterial clarifications do not alter previously accrued rights.
9. Service commitments
Oshyn remains responsible for the obligations it expressly undertakes in these terms. Except for those obligations and rights that cannot lawfully be excluded, guest access, the Service, and AI output are provided on an “as is” and “as available” basis. Oshyn does not promise uninterrupted access, error-free results or actions, or suitability for a purpose it has not expressly agreed to support.
10. Responsibility and limits on liability
10.1 Excluded losses. Subject to section 10.3, Oshyn is not liable to you under or in connection with these Guest Terms for indirect, consequential, special, or punitive damages, or lost profits or revenue, even if informed that such losses are possible.
10.2 Individual financial limit. Subject to section 10.3, Oshyn's total monetary liability to you under or in connection with these Guest Terms is limited to US $1,000 in the aggregate. This is one limit for all your guest claims, regardless of the number of events, invitations, Organizations, versions of these terms, or legal theories, including contract and negligence. It is not calculated from fees paid by you or the Organization. It survives the end of your guest access.
10.3 Exceptions. Sections 10.1 and 10.2 do not limit Oshyn's liability for fraud or willful misconduct; breach of an express confidentiality obligation owed to you; breach of its security or access obligations resulting in unauthorized access to, use, disclosure, alteration, destruction, or loss of protected information; or liability or remedies that applicable law does not permit the parties to exclude or limit. They do not restrict a right to request access, correction or deletion, complain to a regulator, or seek available injunctive or other nonmonetary relief.
10.4 Agent and control failures. Subject to section 10.3, the exclusions and financial limit above apply to ordinary agent errors and failures of guardrails, approvals, budgets, or spending controls, including a failure to exercise reasonable care. A control failure is not by itself a security or confidentiality breach merely because it was intended to prevent an unintended action. An actual breach within section 10.3 remains within that exception even if an agent or automation contributed to it. These terms do not promise reimbursement of every external charge.
10.5 Your individual responsibility. For liabilities arising solely from your use in the Guest role, you owe Oshyn no contractual damages or indemnity for an ordinary breach of these Guest Terms. This does not excuse your own fraud or willful misconduct, prevent lawful restrictions or nonmonetary relief, or remove liability that applicable law does not permit you to exclude. Obligations you independently undertake as a subscribing customer under a separate agreement remain governed by that agreement.
10.6 Separate relationships. This section governs claims between you and Oshyn under these Guest Terms. It does not change the Organization's agreement, import its financial limit, or combine this guest limit with a limit under separately accepted Member terms. The Organization cannot recover its own losses as your personal claim. No person may recover twice for the same loss; distinct losses and remedies required by law are not excluded merely because another agreement or person is involved.
11. Governing terms and contact
These Guest Terms and the AUP govern the guest relationship described here. If the AUP conflicts with these terms on acceptance, individual responsibility, or remedies, these terms control. A different agreement governs this relationship only to the extent you and Oshyn expressly agree that it does; the Organization cannot waive your individual rights on your behalf.
The laws of the State of Delaware govern these terms, subject to rights and protections that applicable law does not permit the parties to exclude or waive. Nothing here requires arbitration, waives a right to bring a claim that law preserves, or prevents a complaint to a regulator. If a provision cannot lawfully be enforced, it applies only to the extent permitted, and the remaining terms continue to apply. A delay in enforcing a right does not waive it.
Obligations and rights that by their nature continue after access ends, including applicable content restrictions, privacy rights, and the allocation of responsibility for prior activity, survive to that extent. Ending access creates no new permission to use or disclose retained data.
